The Role of a Certified Chair

As a Chair I am always mindful of these to ensure that these principals form part of the Board discussions and any advice provided.

  • Clarity of Scope - The Board charter ensures there is a clearly articulated purpose of roles and responsibilities, processes, timing and boundaries.
  • Independence - The people on the board are to remain independent of the organisation and its formal decision making processes.
  • Fit for Purpose - The selection process ensures those chosen, fulfill the charter scope and objectives.
  • Structured and Disciplined - The Board establishment, structure, processes, advice and management is focused on efficiency and effectiveness of outcomes.
  • Measurement - The measured economic impact and organisational outcomes of the Board are such that they meet the standards being sought.

Aspects of my role as an Advisory Board Chair include

  • Provision of flexibility within the guiding framework, ensuring clarity and fitness of purpose
  • Providing a trusted and safe place for the CEO/Founder/Directors
  • Being a "critical friend" or "wise council".
  • Overseeing the stimulation of debate with thoughtful considerations.
  • Facilitating discussion to achieve sound alternative possibilities.
  • Ensuring the CEO/Founder/Directors have clarity as to who is making the decisions.
  • Clearly articulating meeting and conversation structures ensuring Governance and Advisory roles do not overlap.
